Please read these Terms and Conditions carefully before submitting your application to join the Amanda platform as a Mister. By submitting your application, you confirm that you have read, understood and agree to be bound by these terms in their entirety.

1. Nature of the Platform Amanda is a private, curated quality-of-life membership club. It connects its members — accomplished, high-net-worth women (“Amandas”) — with carefully selected male companions (“Misters”) for social, cultural and professional occasions. Amanda is not a dating platform, an escort service, a matchmaking service of a romantic nature, or a platform of any sexual character. Engagements arranged through Amanda are strictly limited to legitimate social companionship in the context of the occasions for which they are booked. Any use of the platform or any engagement with a member for purposes other than those described above is strictly prohibited and will result in immediate removal from the platform, potential legal action, and reporting to relevant authorities where required. 2. Eligibility To register as a Mister on the Amanda platform, you must meet all of the following criteria at the time of application and on an ongoing basis: You are a natural person aged 25 years or older. You are acting in your own name and on your own behalf, and not as an agent, representative or proxy for any third party. You have no criminal convictions relevant to this service, including but not limited to convictions for violence, fraud, sexual offences, exploitation or any offence that would render you unsuitable to engage in social companionship with our members. All information provided in your application is accurate, complete, truthful and not misleading in any respect. You are not currently registered on the platform under any other identity or profile. You are legally entitled to work and operate as a companion in the cities and countries in which you intend to offer your availability. Amanda reserves the right to verify eligibility at any time and to take appropriate action, including immediate suspension, if eligibility requirements cease to be met. 3. Application and Selection Submission of an application does not create any right to acceptance, activation, or engagement through the platform. Amanda reserves the right, at its sole and absolute discretion, to: Reject any application, at any stage of the process, without obligation to provide reasons. Suspend or permanently remove a Mister’s profile at any time, with or without notice, for any reason or for no stated reason. Modify the selection criteria and process at any time without prior notice. Require the submission of additional documentation, references, or information as part of the vetting process. Accepted Misters acknowledge that their profile is a privilege, not a right, and that Amanda’s decision on matters of selection, suspension and removal is final. 4. Background Verification By submitting this application, you expressly consent to Amanda conducting, or commissioning a third-party provider to conduct, a background verification as part of your application and onboarding process. Background verification may include, without limitation: identity verification, criminal record checks, professional background checks, and any other verification deemed appropriate by Amanda to protect the safety and integrity of its members. You warrant that you have no convictions, pending charges or other matters that would be relevant to your suitability and that you have not omitted or concealed any such information in your application. Misrepresentation in this regard constitutes grounds for immediate removal and may give rise to legal liability. 5. Code of Conduct By registering and participating as a Mister, you agree at all times to: Conduct yourself with the highest standards of professionalism, courtesy, discretion and respect in all interactions with members and with the Amanda team. Honour all confirmed engagements. Cancellations must be communicated to the platform as soon as possible and in accordance with the cancellation policy in force at the relevant time. Never engage in any activity of a sexual, romantic, exploitative or illegal nature in connection with any engagement arranged through the platform. Maintain strict confidentiality regarding the identity, appearance, personal details, preferences and any other information relating to any member you engage with (see Section 6). Refrain from contacting any Amanda member outside the context of platform-arranged engagements, unless expressly and specifically authorised to do so by Amanda in writing. Never solicit additional payments, gifts, personal engagements or personal relationships from or with members outside the platform. Never represent yourself as acting on behalf of Amanda, use the Amanda name, brand or logotype for personal gain, or make representations about the platform that are unauthorised. Comply with all applicable local, national and international laws and regulations in all cities and countries where you operate. Any breach of this code, whether during an engagement or otherwise, constitutes grounds for immediate suspension or permanent removal from the platform and may expose you to legal claims. 6. Confidentiality and Discretion Confidentiality is a fundamental condition of your participation on the Amanda platform. By registering, you agree that: All information relating to Amanda’s members, including but not limited to their identity, contact details, personal circumstances, preferences, and engagement history, is strictly confidential and may not be disclosed to any third party under any circumstances. All information relating to the Amanda platform, including its business model, operations, member base, pricing, and internal communications, is proprietary and confidential. You will not photograph, record, or document any member or any engagement, in any format, without the express prior written consent of Amanda. You will not disclose your participation on the Amanda platform to any third party without Amanda’s prior written consent. This confidentiality obligation is absolute and survives the termination of your registration on the platform, with no time limitation. Any breach of this obligation may result in immediate legal action, including claims for damages, injunctive relief, and any other remedy available under applicable law. 7. Data Protection and Privacy Amanda collects, processes and stores your personal data in accordance with the UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL) and, where applicable, the European General Data Protection Regulation (GDPR). Full details are set out in the Privacy Policy, available at amanda-club.com/privacy. By submitting this application, you: Consent to the collection and processing of your personal data for the purposes of screening, vetting, onboarding, profile management and platform operations. Consent to the processing of your photograph and biographical information for display within the platform to Amanda members. Consent to background verification as described in Section 4. Acknowledge that your data may be shared with trusted third-party service providers (including KYC and background verification providers) strictly for the purposes described in the Privacy Policy. If you are resident in the European Union or European Economic Area, your data is processed in accordance with the General Data Protection Regulation (GDPR). You have the right to access, rectify, restrict, port and request erasure of your personal data, subject to applicable legal limitations. Requests should be directed to the contact address set out in the Privacy Policy. Withdrawal of consent to data processing will result in the deactivation of your profile and removal from the platform. 8. Intellectual Property By submitting photographs, biographical text, or any other content to the platform, you grant Amanda a non-exclusive, worldwide, royalty-free, perpetual licence to use, display, reproduce and format such content within the platform and in connection with platform communications, for as long as your profile remains active. You warrant that all content you submit is your own, does not infringe the rights of any third party, and that you have the right to grant this licence. The Amanda name, logotype, symbol, brand identity, platform design, and all associated intellectual property are the exclusive property of Amanda. You may not use any of these without Amanda’s prior written consent. 9. Limitation of Liability Amanda operates as a private membership club and introducer. It is not a party to any agreement, arrangement or transaction between a Mister and an Amanda member, and it does not supervise, monitor or guarantee the conduct of either party during an engagement. To the fullest extent permitted by applicable law: Amanda makes no representation or warranty as to the conduct, character, reliability, safety or suitability of any member. Amanda accepts no liability whatsoever for any loss, damage, injury, harm or expense arising from or in connection with any engagement arranged through the platform, whether direct, indirect, consequential or otherwise. Amanda’s total aggregate liability to you, for any cause whatsoever, shall not exceed the total fees, if any, received from you in the twelve months preceding the event giving rise to the claim. You engage in all engagements at your own risk and accept full personal responsibility for your conduct and safety during engagements. 10. Indemnification You agree to indemnify, defend and hold harmless Amanda, its founders, directors, employees, agents and partners from and against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from or in connection with: Your breach of these Terms and Conditions. Your breach of any applicable law or regulation. Your conduct during or in connection with any engagement. Any misrepresentation made by you in your application or otherwise. Any claim by a third party arising from your actions or omissions. 11. Termination and Suspension Amanda may suspend or permanently terminate your access to the platform at any time, with or without notice, including but not limited to cases of: Breach of any provision of these Terms and Conditions. Conduct that, in Amanda’s sole judgment, is incompatible with the platform’s values, positioning or the safety and wellbeing of its members. A material change in your eligibility status. Provision of false, misleading or incomplete information. Any conduct that risks reputational, legal or regulatory harm to Amanda. Upon termination or suspension, your profile will be deactivated immediately. Confidentiality obligations (Section 6) and all other provisions that by their nature survive termination shall remain in full force and effect. Amanda accepts no liability for any loss arising from the suspension or termination of your access to the platform. 12. Amendments Amanda reserves the right to amend, update or replace these Terms and Conditions at any time. Amended terms will be communicated to registered Misters via the email address provided at registration. Continued participation on the platform following the effective date of any amendment constitutes acceptance of the updated terms. If you do not accept any amendment, you must notify Amanda and cease using the platform. 13. Governing Law and Jurisdiction These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates (UAE). Any dispute, controversy or claim arising out of or in connection with these Terms and Conditions, or the breach, termination or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates. Notwithstanding the foregoing, nothing in this clause shall limit or exclude any rights you may have under the laws of your country of residence that cannot be excluded or restricted by agreement. In particular, if you are resident in the European Union or European Economic Area, your rights under the General Data Protection Regulation (GDPR) and other applicable EU consumer and data protection legislation remain fully preserved and are not affected by this governing law clause. 14. Entire Agreement These Terms and Conditions, together with Amanda’s Privacy Policy, constitute the entire agreement between you and Amanda with respect to your registration and participation as a Mister on the platform. They supersede all prior communications, representations or understandings, whether written or oral, relating to the same subject matter. If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

By submitting your application, you confirm that you are 25 years of age or older, that you have read and understood these Terms and Conditions in full, and that you agree to be bound by them.
